TERMS OF SERVICE AND DIGITAL PRODUCT LICENSE

These Terms of Service and Digital Product License (“Terms”) govern your access to and purchase or use of digital products sold through the Kenisys Growth online store (“Store”).

The Store is operated by KeniSys Technologies SARL, Morocco, trading under the brand name Kenisys Growth (“Kenisys Growth,” “we,” “us,” or “our”).

By visiting the Store, completing a purchase, downloading a product, or using any purchased materials, you confirm that you have read, understood, and agreed to these Terms.

1. DIGITAL PRODUCTS

We sell downloadable and electronically delivered products, including ebooks, playbooks, templates, prompts, workflows, checklists, documents, training materials, and related digital resources.

No physical product will be shipped unless a product page expressly states otherwise.

Product descriptions, included files, formats, compatibility requirements, prices, and intended uses are displayed on the relevant product page. You are responsible for reviewing this information before purchasing.

1. PERSONAL AND INTERNAL-BUSINESS LICENSE

Unless the product page expressly grants a different license, each purchase gives the original purchaser a limited, non-exclusive, non-transferable, revocable license to:

• Download and use the product personally;
• Adapt templates and workflows for the purchaser’s own business;
• Use the materials internally with the purchaser’s employees or contractors, provided they are working for that purchaser and do not retain or redistribute independent copies;
• Use outputs created with the materials for the purchaser’s own clients.

Purchasing a product does not transfer copyright, ownership, trademark rights, source rights, or resale rights.

1. STRICTLY PROHIBITED USES

You must not, whether free of charge or for payment:

• Resell, redistribute, sublicense, rent, lend, share, publish, upload, or give the original product files to another person;
• Share download links, customer accounts, access credentials, cloud folders, or copies of purchased files;
• Upload the product or any substantial part of it to marketplaces, membership platforms, public websites, social networks, messaging groups, file-sharing services, AI datasets, or prompt libraries;
• Repackage, rename, translate, redesign, modify, or combine the product for the purpose of selling or distributing it as your own product;
• Claim authorship, ownership, or exclusive rights over the product;
• Remove copyright, trademark, brand, licensing, or ownership notices;
• Use the product to create a directly competing template pack, prompt pack, ebook, course, playbook, workflow library, or digital product;
• Allow multiple unrelated businesses or clients to use one personal license;
• Use automated systems to copy, scrape, extract, reproduce, or distribute the content;
• Use the materials for unlawful, deceptive, infringing, abusive, or fraudulent activity.

“Lifetime access,” where offered, means access for as long as we continue to maintain and distribute that product. It does not guarantee that a product, platform, application, or download link will remain available indefinitely.

1. CLIENT WORK

You may use the knowledge, processes, prompts, and customizable templates to deliver services to your own clients.

You may provide a client with completed work specifically created for that client. You may not provide the client with the original product, editable source library, full prompt library, template collection, or a substantially complete reproduction of the purchased materials.

A separate commercial, agency, team, or resale license is required where expressly offered.

1. INTELLECTUAL PROPERTY

All Store content and digital products—including text, branding, graphics, layouts, templates, prompts, workflows, documents, videos, source materials, and product organization—are owned by or licensed to KeniSys Technologies SARL and are protected by applicable intellectual-property laws.

KENISYS, KENISYS GROWTH, product names, logos, and associated brand elements may not be used in a way that suggests sponsorship, partnership, ownership, or authorization without our written permission.

Unauthorized copying or distribution may result in license termination, account suspension, takedown requests, claims for damages, and other legal remedies.

1. ORDERS AND PAYMENTS

You agree to provide accurate, current, and complete billing and contact information.

Prices are displayed in the currency shown at checkout. Applicable taxes, currency conversion charges, bank fees, and payment-provider charges may apply.

We may reject, limit, suspend, or cancel an order where we reasonably suspect fraud, payment abuse, pricing error, sanctions violation, unauthorized resale, or breach of these Terms.

A purchase is complete only after successful payment confirmation.

1. DIGITAL DELIVERY

Products are normally delivered through an order-confirmation page, email, customer account, or download link.

You are responsible for:

• Providing a valid email address;
• Checking spam and promotional folders;
• Downloading and securely storing purchased files;
• Maintaining compatible software and devices;
• Contacting us promptly if delivery fails.

If you do not receive access within 24 hours after successful payment, contact kenisysgrowth@gmail.com with your order number and purchase email.

1. REFUNDS AND CANCELLATIONS

Because digital products can be accessed, downloaded, copied, and used immediately, completed digital purchases are generally final and non-refundable once access or a download link has been provided.

Exceptions may apply where:

• You were charged more than once for the same order;
• You paid successfully but did not receive access and we cannot provide it within a reasonable time;
• The delivered file is corrupted or materially different from its description and we cannot repair or replace it;
• A refund is required by mandatory applicable law.

Dissatisfaction based on personal preference, failure to read the description, change of mind, lack of time, lack of technical knowledge, or failure to achieve a particular business result does not automatically qualify for a refund.

Nothing in these Terms removes consumer rights that cannot legally be waived.

1. CHARGEBACKS AND PAYMENT DISPUTES

Before initiating a chargeback or payment dispute, contact us at kenisysgrowth@gmail.com so we can investigate and attempt to resolve the issue.

Fraudulent chargebacks, including disputes submitted after successful delivery and use of a product, may result in immediate license termination and submission of relevant order, delivery, access, and communication records to the payment provider.

This section does not prevent a customer from exercising a legitimate legal right to dispute an unauthorized or incorrect transaction.

1. NO GUARANTEED RESULTS

Our products provide educational information, systems, templates, and practical resources. They do not guarantee clients, revenue, profit, employment, advertising results, business growth, or any other specific outcome.

Results depend on factors outside our control, including your experience, implementation, market, offer, budget, decisions, and effort.

Nothing sold through the Store constitutes legal, tax, accounting, medical, investment, or regulated professional advice.

1. THIRD-PARTY PLATFORMS AND AI TOOLS

Some products may refer to third-party services such as Shopify, ChatGPT, Claude, Meta, TikTok, Google, LinkedIn, email platforms, or automation tools.

We do not control and are not responsible for their pricing, availability, policies, output, security, features, suspensions, or future changes.

You are responsible for complying with the rules and laws applicable to every third-party platform you use.

1. ACCEPTABLE AI USE

You remain responsible for reviewing, verifying, editing, and lawfully using all AI-generated output.

You must not use our materials to create spam, impersonate another person, fabricate testimonials, misuse personal data, infringe intellectual property, or send misleading or unlawful communications.

1. ACCOUNTS AND SECURITY

Where customer accounts are available, you are responsible for maintaining the confidentiality of your credentials and for all activity occurring through your account.

You must notify us promptly if you suspect unauthorized access. We may suspend access where account sharing, resale, fraud, or security abuse is suspected.

1. UPDATES AND PRODUCT CHANGES

We may update, correct, improve, replace, rename, or discontinue a product.

Unless expressly promised on the product page, purchasing a product does not guarantee future updates, new formats, personal support, consulting, customization, or access to separately released products.

1. SUPPORT

Support covers reasonable assistance with product access, download problems, and clarification of included files.

Support does not include done-for-you implementation, consulting, custom development, advertising management, legal advice, or unlimited technical assistance unless separately purchased.

1. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, products and Store content are provided “as is” and “as available.”

We do not warrant that every product will meet every individual requirement, remain compatible with every third-party platform, operate without interruption, or produce a particular commercial outcome.

Mandatory warranties and consumer protections that cannot legally be excluded remain unaffected.

1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, KeniSys Technologies SARL, Kenisys Growth, their owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, lost opportunities, lost data, business interruption, advertising loss, or reputational damage.

Where liability cannot be excluded, our aggregate liability concerning a purchase will not exceed the amount paid for the product giving rise to the claim, except where applicable law requires otherwise.

1. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless KeniSys Technologies SARL and Kenisys Growth from third-party claims arising from your unlawful use, unauthorized resale, infringement, distribution, violation of these Terms, or misuse of personal data.

1. TERMINATION OF LICENSE

The license terminates automatically if you breach these Terms, particularly the restrictions on resale, sharing, copying, or distribution.

After termination, you must stop using the product and delete all unauthorized copies. Termination does not entitle you to a refund and does not limit any other legal remedy available to us.

1. PRIVACY

Personal information is processed in accordance with our Privacy Policy. By using the Store, you acknowledge that Shopify and relevant payment, delivery, analytics, and service providers may process information necessary to operate the Store and complete your order.

1. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Kingdom of Morocco, without removing any mandatory consumer protection that applies to you in your country of residence.

Before beginning formal proceedings, both parties agree to attempt in good faith to resolve the dispute by contacting the other party in writing.

Subject to mandatory consumer jurisdiction rules, disputes will be submitted to the competent courts of Morocco.

1. SEVERABILITY

If any provision is found invalid or unenforceable, the remaining provisions remain effective. The invalid provision will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permitted.

1. CHANGES TO THESE TERMS

We may update these Terms to reflect legal, operational, or product changes. The updated version becomes effective when published with a revised “Last updated” date.

Changes do not retroactively remove rights already granted under mandatory law.
